"Cyber Security Management Guidelines", Reassessing Corporate Management and Information Security and Preventing Data leaks in M&A and JV Transaction.

Recently, data leaks have been a growing phenomenon, leading to an increase in related disputes and court case. As a consequence, the Ministry of Economy, Trade and Industry formulated the "Cybersecurity Management Guidelines" in December 2015, mainly addressed to corporate management in order to promote cybersecurity measures under their leadership. It is said that compliance with these guidelines might be a de-facto standard for judging the liabilities of corporate managers. However, it is not clearly stated how the companies should conform to these guidelines. This program will explain how to respond to these guidelines as a company from a practical perspective, including how to keep good “evidence” to minimize the liabilities to be caused by a cyberattack. We will also discuss some key features of cyber security in a process of M&A and Joint Venture transactions.

Our Speakers

Edward “Ted” Johnson is a partner in the M&A and Private Equity Group in Orrick’s Tokyo office. His practice focuses on strategic transactions including venture and other private equity investments, M&A, joint ventures, restructurings and investment fund platform structuring in Japan and globally.

Yoshihiro Takatori is a partner and head of litigation group at Orrick’s Tokyo office. His practice focuses on cross-border dispute resolution on cyber security and data privacy, intellectual property. He is the author of “Cybersecurity Strategy for Litigation and Compliance” (2015, NTT Publishing), and recognized as a leading attorney in the field of cybersecurity.

Shinsuke Yakura is a partner of litigation group at Orrick’s Tokyo office. His practice focuses on cross-border dispute resolution including IP infringement lawsuit as well as IP/IT compliance management on trade secret protection and cyber security/data privacy management. He co-authored “Cybersecurity Strategy for Litigation and Compliance” (2015, NTT Publishing). Kei Kato is an associate in the Litigation Group in Orrick’s Tokyo office. His practice focuses on intellectual property, compliance and other commercial disputes. He is an active speaker in seminars concerning legal aspects of cybersecurity.
